一、我国民营企业融资的现状

我国的民营企业以劳动密集型、低技术的行业为主,仅制造业、批发零售餐饮业就集中了民营企业的75%。绝大多数民营企业无论是在其初创期,还是发展期,主要是依靠自我积累、自我筹资发展起来的。但是,由于这些企业管理水平低、生产规模小、创利能力弱,要进一步发展,仍受到资金严重不足的制约。民营企业有着巨大的资金需求,然而,从银行所得到的贷款,尚不足银行贷款总量的2%;通过发行股票融资的民营企业在我国证券市场的上市公司中约只占9%左右,这里还不包括那些以较高昂的代价购买别的上市公司的股份而曲线上市的;在债券市场上占有的份额则几乎为零。民营企业的融资难,突出表现为中小企业难、中西部地区难、小城镇难,而这又恰恰是我们经济发展需要加大支持力度的重要环节。

应当看到,中央有关部门和不少地方政府为了解决民营经济融资难的问题,下了很大的力气,也出台了一些具体政策措施,如,组建民营股份制银行和地方商业银行、鼓励和支持四大商业银行,增加对民营经济贷款、建立担保体系、建设风险投资体系等等。但是,从实施效果来看,这些措施还没有使民营企业融资难的问题发生根本性的改变。因为,民营企业融资难的问题,表面上看是反映渠道狭窄,而深层次的原因则是体制和制度问题。

二、我国民营企业融资难的成因分析

1、从体制上看。当前仍然不同程度地存在着对民营企业的“歧视”现象。由于长期受计划经济体制和传统意识的影响,金融部门对非公有制企业尚不能一视同仁,受各种条件制约,诸如有的怕出现问题受到牵连。我国四大国有商业银行拥有全国70%以上的信贷资金,在信贷市场上处于垄断地位,原本是民营企业寻求信贷支持的主要来源之一,但由于国有商业银行一直受处在行政过分干预的准财政运作体制的约束,导致其对民营企业的“歧视”现象。许多地方反映,对同样数额的不良贷款,贷款对象如果是国有企业,银行工作人员可以不承担或少承担责任,如果是私营企业就可能被有关领导机构甚至司法机关予以追究。出于对贷款责任的考虑,不少银行员工宁肯少贷或不贷给民营企业,尽量限制对民营企业的贷款数额。其贷款手续之繁杂,抵押条件之苛刻,对抵押品要求之严,抵押率之低,远远超过国有企业,使不少民营企业望而却步,当民营企业在无可奈何的情况下不得不去贷款时,也往往要花费很长的时间,白白地错过了宝贵的商机。在国家有关政策上也残留着“缺陷”,急需调整完善。例如,国有企业并购重组时,许多不良资产可以通过剥离、核销、挂账、停息等办法处置,外资企业将部分利润投资可在税收上减免,而私营企业却不能享有同等待遇。此外,民营企业也无法享受开发区企业应有的政策优惠等等。这种政策性差异在很大程度上影响了民营企业融资渠道的拓展。

2、从制度上来看。(1)担保公司和各类基金制度还未完善。民营企业信用贷款因担保问题尚未解决而难以运作;抵押贷款因市区多数民营企业未能解决房产、土地等相关证件而被搁置。抵押担保落实难是当前民营企业融资、特别是申请金融机构贷款过程遇到的最大难题之一。(2)银行为民营企业服务严重不足。尽管中央银行的信贷政策鼓励商业银行增加对中小企业的贷款,但各商业银行从自身经济利益考虑,往往集中力量抓大客户,乐于“大宗批发”,而对额度小、频率高的民营企业贷款缺少兴趣,由此导致民营企业贷款明显不足。这里分析的不仅是服务意识差,而更重要的是制度引致的问题。各区县专业银行大都无权审批固定资产投资贷款,对流动资金贷款也有严格限制,这些限制难以适应遍布各地的民营企业的金融服务需要。此外还缺少对国有商业银行中小企业贷款的考核,缺少专门从事中小企业贷款的金融机构。(3)融资渠道狭窄。目前我国资本市场整体发展不够,尤其是为中小企业融资的创业板在深圳上市仅一年左右,目前我国证券市场十分萧条,使得中小企业发行债券、股票相当困难。

3、从民营企业自身来看。民营企业一般规模较小,资金匮乏,而且偿债能力弱;加上经营观念和管理模式的相对落后,财产抵押实力不足,没有完整的、令人信服的信用记录,缺乏信用基础,加大了银行投资民营企业的风险,缩小了民营企业的融资范围。这些问题均需要我们作进一步深入研究。

民营企业之所以不容易融到资金,从主观方面看可能有三个原因:一是相当一部分民营企业没有按照规定建立账目,即使有账目也是比较混乱,漏洞甚多,经不起检查,因此金融机构不愿贷款给它们,它们自己也难以通过直接融资方式融资;二是不少民营企业由于抵押物不足,无法从金融机构那里借到钱;三是有些民营企业信用信息不明,信用记录不清楚。正是上述主观原因使民营企业融资困难,它们往往只能依靠自我积累、慢慢“滚雪球”,或者通过非正式渠道融资。

再从客观方面进行分析,民营企业融资难有五个原因:一是近年来国有商业银行从县以下领域退出,县以下的金融服务范围缩小;二是即使是县城和县以上的城市,由于国有商业银行资金实行统一运筹的策略,资金重点投向发达地区和优势行业,以致欠发达地区和一般行业的民营企业难以得到贷款;三是缺乏有效的信贷担保机构;四是民间金融机构、地下金融没有被引导浮出水面,难以通过正当渠道发挥作用;五是商业银行实行严格的贷款责任追究制,而且贷款工作中又缺乏一定的激励机制,从而信贷人员认为向民营企业放贷责任巨大,宁肯慎之又慎,而不愿意冒这样的风险。

当前应针对民营企业融资的主观原因和客观原因两个方面采取措施,力求尽快地畅通民营企业融资渠道,提出以下七条建议:

——尽快建立专为民营企业提供金融服务的小型商业银行,解决民营经济发展中的融资难问题;中小型商业银行的建立,要依靠民间资本的参股,尤其要吸纳游离于金融体系外的民间资本。这也有助于使民间资本从“体外循环”转入“体内循环”。

——现有商业银行(包括尚未改制的和正在进行改制的商业银行)在调整业务结构的过程中,对大额贷款业务和小额贷款业务分别制定规划和分别核算,即对小额贷款业务另行制定规划和单独核算,避免贷款部门因担心小额贷款的成本高而予以放弃。此外,商业银行应制定符合民营企业、尤其是中小型企业特点的信贷管理和风险控制的制度,以便提高工作效率。最近,银监会发布了《银行开展小企业贷款指导意见》,在贷款发放方面作了改进,包括对银行业绩考核办法也作了修改,这是有积极作用的。

最后应当强调,民营企业素质的提高是十分重要的。这也是解决民营企业融资难的措施之一。例如,民营企业要建立健全会计核算制度,如实编制财务报表,依法报送统计信息。民营企业的出资人和经营管理人员都应当增强法律观念、诚信意识和社会公德,努力提高自身素质。又如,相当一部分民营企业的产权并不是十分清晰的。有些因长期挂靠在某一个国有企业或集体企业中,甚至挂靠于某一个事业单位,以致产权不清晰。也有些家族制企业,家族主要成员对企业拥有的产权不清晰,导致内部纠纷,从而影响了企业的经营。因此,即使是家族制企业,产权也应当清晰,应当明细化。再如,民营企业不能靠不正当手段来获取贷款。在一些地方曾发生这样的现象,即民营企业为了得到银行的贷款,不惜以各种不正当手段拉拢和贿赂银行工作人员,结果把银行工作人员拉下水,也使其他民营企业的融资受到影响而更加困难。民营企业一定要切记这方面的经验教训。
